SHOPSICAL TERMS OF SERVICE

Welcome to Shopsical, a next-generation social commerce platform revolutionizing how users buy, sell, and interact online. These Terms of Service ("Terms") form a legally binding agreement between you ("User") and Shopsical ("Company," "we," or "us"). By accessing or using any part of the Shopsical platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Platform.

DEFINITIONS

  • "Platform" refers to all Shopsical websites, mobile applications, APIs, and services.
  • "User" refers to any individual or entity using the Platform, including, but not limited to, buyers, vendors, or casual browsers.
  • "Vendor" means a registered seller offering goods or services through Shopsical.
  • "Buyer" is any user who purchases goods or services via the platform.
  • "Services" encompass the entirety of commerce, social interaction, messaging, marketing tools, and all other features offered by Shopsical.

ELIGIBILITY

  • To use Shopsical:
  • You must be at least 13 years old. Users under the age of 18 must have parental consent.
  • Vendors must be at least 18 years old or represent a registered business entity.
  • You represent and warrant that all information provided during registration is true and accurate.

ACCOUNT CREATION AND RESPONSIBILITIES

  • Users must create an account to buy products and access personalized features.
  • Users agree to provide accurate and complete information.
  • You are responsible for safeguarding your password and agree not to disclose your credentials.
  • You will not use another user's account without their express permission.
  • Shopsical is not liable for losses or damages resulting from unauthorized access.

USER CONDUCT

  • Users agree to:
  • • Comply with all applicable local, state, national, and international laws.
  • • Not use the platform for any unlawful purpose or post false, misleading, or harmful content.
  • • Not upload or transmit malicious code, spam, or harmful files.
  • • Not harass, abuse, or harm another person or impersonate another user.
  • Failure to comply may result in account suspension, deletion, or legal action.

TRANSACTIONS

  • Shopsical retains a 3% service commission on each successful sale.
  • Shopsical is not responsible for failed deliveries or product disputes but will mediate when necessary.

ORDER CANCELLATIONS & REFUNDS

  • Cancellation policies are vendor-specific.
  • Buyers must review each Vendor's policy before purchase.
  • Refunds for unsatisfactory, damaged, or undelivered items will be reviewed by Shopsical.
  • Fraudulent behaviour by Vendors or Buyers will result in account restrictions.

VENDOR RESPONSIBILITIES

  • Vendors must ensure product authenticity, accurate descriptions, and timely delivery.
  • Vendors agree to pay all applicable taxes and abide by Shopsical's seller policies.
  • Shopsical reserves the right to delist any Vendor for non-compliance or complaints.

CONTENT GUIDELINES & OWNERSHIP

  • Users may post content such as reviews, product photos, or feedback.
  • You retain ownership of your content but grant Shopsical a non-exclusive, royalty-free license to use, display, and distribute such content.
  • Shopsical reserves the right to remove any content that violates policies or community standards.
  • Prohibited Content includes:
  • • Hate speech, harassment, violence
  • • Pornographic or explicit materials
  • • Infringement of third-party rights

PRIVACY POLICY

  • Our collection and use of your personal data is governed by our Privacy Policy.
  • By using Shopsical, you consent to data practices as detailed in the Privacy Policy.
  • Shopsical uses cookies, analytics tools, and device information to enhance user experience.

PLATFORM AVAILABILITY

  • Shopsical aims for 99.9% uptime but cannot guarantee uninterrupted service.
  • The platform may be unavailable during scheduled maintenance or outages.
  • Shopsical is not liable for data loss, downtime, or performance delays.

INTELLECTUAL PROPERTY

  • All platform content, branding, and design are the intellectual property of Shopsical.
  • Unauthorized use, copying, or distribution of Shopsical materials is strictly prohibited.
  • Vendors retain IP rights to their own content but must ensure they have the right to post.

PROMOTIONS, REWARDS & POINTS

  • Shopsical may provide users with points, badges, or promo codes.
  • Misuse of promotional tools can lead to forfeiture or suspension.

LIABILITY LIMITATIONS

  • Shopsical provides the platform "as-is" without any warranty or guarantee.
  • We are not responsible for user-generated content, vendor conduct, or third-party integrations.
  • Our total liability in connection to any service or product is limited to the amount you paid us.

TERMINATION

  • Users may deactivate accounts at any time.
  • Shopsical reserves the right to terminate or suspend accounts for policy violations.
  • Termination may result in loss of access to your account and content.

DISPUTE RESOLUTION

  • Any disputes arising out of these terms shall be resolved via arbitration under Nigerian law.
  • Users agree to waive class-action rights.

GOVERNING LAW & JURISDICTION

  • These Terms are governed by the laws of the Federal Republic of Nigeria.
  • All legal proceedings must be filed in Lagos State, Nigeria.

MODIFICATIONS

  • Shopsical may update these Terms at any time. Changes are effective once posted.
  • Users are encouraged to review Terms periodically. Continued use signifies acceptance.
