SHOPSICAL VENDORS TERMS AND AGREEMENT
Effective Date: May 17, 2025
Welcome to Shopsical, a next-generation social commerce platform. This Vendor Agreement is entered into between you, the vendor, and Shopsical, which governs your use of the platform as a vendor. By registering, accessing, or using the Platform, you acknowledge and agree to be bound by these Terms and our Privacy Policy.
By clicking "Agree" or listing products on Shopsical, you accept this Agreement in full.
Introduction to Shopsical
- Shopsical is a next-gen social commerce platform that empowers individuals, small businesses, and brands to showcase and sell their products in a trusted, socially interactive space.
- As a vendor, you gain access to a personalized store page, Product visibility on curated feeds, Featured promotions, discounts, Community engagement tools, Analytics, and a reporting dashboard
Eligibility
- To become a vendor on Shopsical, you must:
- • Be at least 18 years old or represented by a guardian or authorized business entity.
- • Own the rights to sell the products you list.
- • Agree to operate ethically and in compliance with local regulations.
- We reserve the right to approve or reject any application based on our verification procedures.
Vendor Responsibilities
- By registering as a Vendor, you agree to:
- a. Maintain Accurate Information
- You must provide truthful, current, and complete information during registration and keep it updated. This includes:
- • Store name
- • Business contact
- • Bank details for payout
- • Valid identification (for trust badge)
- b. Product Listings
- Only list products that you have the right to sell.
- Provide accurate product descriptions, pricing, availability, and shipping timelines.
- Avoid counterfeit, prohibited, or restricted items as defined by Shopsical policy.
- c. Order Fulfillment
- You are responsible for packaging and delivering orders within the stated timeframe.
- You must ensure product quality matches what was advertised.
- You agree to resolve disputes in good faith and honor return/refund policies.
Commission & Payout
- Shopsical charges a 3% commission on every successful sale.
- Payouts on sales are aggregated and processed daily or weekly.
- You agree that the commission is non-refundable once a transaction is completed.
Content & Intellectual Property
- You retain ownership of your product photos and descriptions.
- However, you grant Shopsical a non-exclusive, royalty-free license to use, display, and promote your content across our platform and media.
Product Fulfillment & Customer Satisfaction
- You are solely responsible for packaging, shipping, and managing product delivery.
- Any disputes or complaints regarding your service or products may affect your Trust Score and explore visibility.
- We reserve the right to ban or store suspension vendors with repeated complaints, scams, or policy violations.
Prohibited Products
- You agree not to list or promote any of the following:
- • Fake/counterfeit items
- • Weapons, drugs, or controlled substances
- • Adult or explicit content
- • Hate speech or discriminatory material
- • Products that infringe on intellectual property rights
- Violation of this policy may lead to suspension or permanent removal from the Platform.
Data & Privacy
- We will never sell your private data.
- We may use your store performance and activity to improve features and personalization across the platform.
Termination and Suspension
- We reserve the right to:
- • Suspend or terminate your vendor account without notice if you breach these terms, engage in fraud, or damage platform integrity.
- • Reclaim usernames or store names for any reason.
- You may terminate your Vendor account by notifying us in writing. You can also mark your shop as inactive whenever you want to.
Limitation of Liability
- To the maximum extent permitted by law:
- • Shopsical shall not be liable for any indirect, incidental, or consequential damages arising out of your use of the Platform.
- • Our total liability for any claims under this agreement is limited to the commission fees paid by you in the previous 3 months.
Privacy & Data Protection
- We value your privacy. Your data is handled in accordance with our Privacy Policy. Vendors must not misuse customer data or harvest personal info for external use.
Amendments
- Shopsical may update this agreement periodically. Continued use of the platform after changes means you accept the new terms.
Governing Law
- These Terms are governed by and construed in accordance with the laws of Nigeria
